Product Terms & Conditions

Welcome to WyseB, operated by mFunnel Technologies Pvt Ltd.These Terms of Service ("Terms") govern your access to and use of our AI-powered services ("Services"). By subscribing to or using our Services, you ("Client", "you", or "your") agree to be bound by these Terms.

1. Service Description

We provide AI-enabled solutions including but not limited to:

• Appointment Automation
• Creative Asset Generation
• Marketing & Ads Optimization

The scope of Services will be defined in your selected plan or mutually agreed proposal.

2. Eligibility

By using our Services, you confirm that:

• You are legally capable of entering into a binding agreement under applicable Indian laws
• You are using the Services for lawful business purposes
• You hold all licences and qualifications required to carry out your business

3.Subscription & Payments

Invoices are generated monthly and due within 7 days. Payments can be made via bank transfer, UPI, or credit card. Late payments may result in temporary suspension of service.

• Services are offered on a monthly subscription basis unless otherwise agreed
• Fees must be paid in advance for each billing cycle
• All prices are exclusive of applicable taxes, including GST
• Payments once made are non-refundable, except where required under applicable law

4. Usage Limits & Additional Charges

Each plan includes predefined usage limits (including AI processing/token usage, campaign volumes, or creative outputs)
If your usage exceeds pre-defined limits:

• Additional usage will be charged on an actuals basis at prevailing rates
• You will be informed where reasonably possible before significant overages

5. Client Responsibilities

You agree to:

• Provide accurate and complete information required for service delivery
• Ensure compliance with all applicable laws, including advertising, medical, and legal regulations
• Obtain necessary consents from end-users (e.g., for WhatsApp communication, data usage)
• Not use the Services for misleading, unlawful, or unethical activities

You are solely responsible for:

• The accuracy of your business information
• Final review and approval of generated content before publishing

6. Refund Policy

• Refund will provided within seven working days
• Refunds will be credited back to the original payment method in 7 business days

7. Third-Party Platforms

Our Services may integrate with third-party platforms such as:

• WhatsApp
• Google Ads
• Obtain necessary consents from end-users (e.g., for WhatsApp communication, data usage)
• Facebook Ads Manager

You acknowledge that:

• Your use of such platforms is subject to their respective terms and policies
• We are not responsible for changes, restrictions, or downtime caused by third-party platforms

8. Data Protection & Privacy

• We process data in accordance with applicable Indian data protection laws, including the Information Technology Act, 2000 and relevant rules
• You retain ownership of your business datas
• You grant us a limited right to process data solely for providing the Services
• We implement reasonable security measures but do not guarantee absolute security.

9. Intellectual Property

All platform elements—including software, AI models and systems branding are the exclusive property of mFunnel Technologies Pvt Ltd. You may not copy, modify, reverse engineer, or distribute any part of our service without written consent.

• All proprietary tools, AI models, and systems remain our intellectual property
• You retain ownership of your brand assets and inputs
• Generated creatives and outputs may be used by you for your business purposes
• We reserve the right to use anonymized data for improving our Services.

10. Service Performance & Disclaimer

• Services are provided on a best-effort basis
• You retain ownership of your brand assets and inputs
• We do not guarantee specific business outcomes such as incremental growth, conversions, or revenue
• AI-generated outputs may occasionally contain inaccuracies and should be reviewed before use

11. Limitation of Liability

• We shall not be liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the preceding one (1) month

12. Indemnity

You agree to indemnify and hold us harmless from any claims, damages, or liabilities arising from:

• Your misuse of the Services
• Violation of applicable laws or third-party rights
• Content published or actions taken based on AI-generated outputs

13. Termination

• Either party may terminate the subscription with 7 days' written notice
• No refunds will be issued for the current billing cycle
• We reserve the right to suspend Services in case of breach of these Terms

14. Force Majeure

We shall not be liable for failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, internet outages, government actions, or platform disruptions.

15. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.

16. Modifications to Terms

We reserve the right to update these Terms from time to time. Continued use of the Services after such updates constitutes your acceptance of the revised Terms. Material changes will be notified via email or platform notice.
